1. Acceptance of Terms

By accessing or using any application, website, or service provided by AlphaGenixAI ("Company," "we," "our," or "us"), including alphagenixai.com and any mobile applications (collectively, the "Services"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree, please do not access or use the Services.

These Terms constitute a legally binding agreement between you and AlphaGenixAI. We reserve the right to modify these Terms at any time with notice.

2. Eligibility

You must be at least 13 years of age to use our Services. By using the Services, you represent and warrant that:

  • You are at least 13 years old (or 16 in the EU/EEA)
  • You have the legal capacity to enter into a binding agreement
  • Your use of the Services does not violate any applicable laws in your jurisdiction
  • If you are using the Services on behalf of an organization, you have authority to bind that organization to these Terms

3. Account Registration

Certain Services require you to create an account. You agree to:

  • Maintain and promptly update your account information
  • Keep your password confidential and not share it with third parties
  • Notify us immediately of any unauthorized use of your account
  • Accept responsibility for all activities that occur under your account

5. Prohibited Conduct

You agree not to:

  • Use the Services to generate, transmit, or distribute illegal, harmful, harassing, defamatory, obscene, or fraudulent content
  • Attempt to reverse engineer, decompile, or disassemble any portion of the Services
  • Use automated tools (bots, scrapers, crawlers) to access the Services without permission
  • Interfere with or disrupt the integrity or performance of the Services or servers
  • Attempt to gain unauthorized access to any part of the Services or related systems
  • Use the AI features to generate misinformation, spam, or content intended to deceive
  • Impersonate any person or entity or misrepresent your affiliation
  • Violate any applicable local, state, national, or international law or regulation
  • Sublicense, sell, resell, or commercially exploit the Services without our written consent

6. AI Features and Content

Our Services include AI-powered features that generate content based on your inputs. You acknowledge and agree that:

  • AI-generated content is provided for informational and productivity purposes only
  • AI output may be inaccurate, incomplete, or not suitable for your specific situation
  • You are solely responsible for evaluating the accuracy of AI-generated content before relying on it
  • We do not guarantee the accuracy, reliability, or completeness of any AI output
  • You retain ownership of content you input; you grant us a license to process it to provide the Services

7. Intellectual Property

All content, features, and functionality of the Services — including but not limited to text, graphics, logos, icons, images, audio clips, and software — are owned by AlphaGenixAI or its licensors and are protected by United States and international intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our Services without our prior written permission.

Your Content: You retain ownership of content you create and submit through the Services. By submitting content, you grant AlphaGenixAI a worldwide, royalty-free license to use, store, and process your content solely to provide the Services.

8. Privacy

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our data practices.

9. Subscriptions and Payments

Certain Services or features may be offered on a subscription or paid basis. If applicable:

  • Subscription fees are billed in advance on a recurring basis
  • All payments are non-refundable except as required by law or explicitly stated
  • We may change pricing with 30 days' advance notice
  • Failure to pay may result in suspension or termination of access
  • In-app purchases on iOS are subject to Apple's terms; on Android, to Google's terms

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE SERVICE. WE DO NOT WARRANT THAT THE SERVICES WILL MEET YOUR REQUIREMENTS OR THAT ANY DEFECTS WILL BE CORRECTED.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALPHAGENIXAI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) $100 OR (B) THE AMOUNT PAID BY YOU TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless AlphaGenixAI and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of your use of the Services, violation of these Terms, or infringement of any third-party rights.

13. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, us, third parties, or the integrity of the Services.

You may terminate your account at any time by contacting us at alphagenixai@gmail.com. Termination does not relieve you of obligations incurred prior to termination.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law provisions. Any disputes arising from these Terms or the Services shall be resolved through binding arbitration in accordance with the American Arbitration Association rules, except that either party may seek injunctive relief in a court of competent jurisdiction. You waive the right to participate in class action litigation.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the "Last updated" date or through other reasonable means. Your continued use of the Services after changes take effect constitutes your acceptance of the revised Terms.

16. Miscellaneous

  • Entire Agreement: These Terms and our Privacy Policy constitute the entire agreement between you and AlphaGenixAI regarding the Services.
  • Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in full force.
  • No Waiver: Failure to enforce any right under these Terms does not constitute a waiver.
  • Assignment: You may not assign your rights under these Terms; we may assign ours.
